Clear roles protect the traveler, the partner and the quality of the journey. These terms apply to Talvia’s business-to-business itinerary-design work.
No work begins until the service, fee, delivery date and included revisions have been confirmed in writing.
These Partner Terms apply to business-to-business itinerary-design and related consultancy services supplied by Talvia Private Journeys (Talvia). They do not govern consumer travel services.
Each assignment is also governed by a written quotation, order confirmation or statement of work. If documents conflict, the order confirmation takes precedence for that assignment.
Talvia provides itinerary concepts, sequencing, research, shortlists, operational observations, links and agreed presentation files.
Talvia is not the traveler’s tour operator, retailer, package organizer, booking agent, payment intermediary or on-trip emergency service unless a separate written agreement expressly says otherwise.
The partner owns and manages the traveler relationship and is solely responsible for quotations, sales, bookings, availability checks, supplier selection and contracts, traveler payments, confirmations, insurance information and all legal obligations arising from the travel sale.
The partner must independently verify prices, operating dates, age or health restrictions, accessibility, cancellation terms and other material supplier information before presenting or booking the journey.
The partner will provide accurate and sufficiently complete information about the traveler, budget, dates, preferences and material constraints. Talvia may rely on that information.
If information is missing, Talvia may state reasonable assumptions. A material change to the brief may require a revised fee or delivery date.
Fees, any advance payment, VAT treatment, due dates and included expenses are set out in the order confirmation. Work begins after written acceptance and any agreed advance payment.
The partner is responsible for bank charges and taxes that it must withhold by law, and will provide supporting documentation for any withholding.
Delivery dates begin when Talvia has received the complete brief, requested materials and any agreed advance payment.
A revision round means one consolidated set of partner feedback delivered at one time. New routes, dates, destinations, budgets or traveler requirements may be treated as additional work.
If the partner cancels or pauses an assignment after work has started, it will pay for work completed and any non-cancellable agreed costs up to the effective date.
Talvia may pause work for overdue payment, missing information, unsafe or unlawful instructions, or conduct that materially prevents delivery.
Accommodation, activity, transport and other recommendations are independent third-party services. Their prices, availability, content and terms may change until the partner contracts with them.
Talvia does not guarantee natural phenomena, weather, road conditions, supplier performance or that a proposed service will remain available.
After full payment, the partner receives a non-exclusive licence to use the Client Edition for the named traveler or assignment under the agreed white-label or co-branded presentation.
The Partner Operations Edition is confidential internal material. Talvia’s methods, templates and background know-how remain Talvia’s property. Reuse or resale for another traveler requires written permission or a separate licence.
Each party will protect non-public commercial, supplier and traveler information and use it only for the assignment. Access is limited to people who need it and are bound by appropriate confidentiality duties.
Neither party may publish a traveler’s identity, itinerary, image, testimonial or case study without the required written permissions. Extra care applies to public figures, UHNW travelers and their families.
Each party will comply with applicable data-protection law, minimize the personal data shared and use an appropriately secure transfer method.
Where Talvia processes personal data solely on the partner’s documented instructions, the parties will enter into a data-processing agreement when required. Sensitive information should be shared only when necessary for safe and accurate planning.
Email is the primary project channel. One complimentary 20-minute introductory call is available per prospective partner. Signature and Complex assignments include one 30-minute planning call unless the order confirmation states otherwise.
Additional calls are €125 per hour with a 30-minute minimum, normally scheduled at least 48 hours in advance during Finnish weekday office hours. Direct traveler calls are excluded unless separately scoped.
Talvia is responsible for direct loss caused by its material breach of the agreed design service. To the fullest extent permitted by law, Talvia is not liable for indirect or consequential loss, lost profit, traveler claims arising from the partner’s sale, or the acts and omissions of independent travel suppliers.
To the fullest extent permitted by law, Talvia’s aggregate liability for an assignment is limited to the fees paid to Talvia for that assignment. Nothing excludes liability that cannot lawfully be excluded.
Neither party is liable for delay or failure caused by an event beyond its reasonable control. The affected party will notify the other and take reasonable steps to reduce the effect.
These terms are governed by Finnish law, excluding conflict-of-law rules. The parties will first try in good faith to resolve a dispute by negotiation.
If no resolution is reached, the dispute will be submitted to the competent court at Talvia’s domicile in Finland, unless mandatory law requires otherwise.
